The Compliance section is your central dashboard for two regulatory workflows: Know Your Customer (KYC) identity verification and Power of Attorney (PoA) document management. Both apply to the stakeholders who hold securities in your organisation.

KYC verification

The KYC list

The KYC list shows every stakeholder (individual or investment vehicle) in your organisation alongside their current verification status. The list defaults to Active stakeholders — those with at least one active security block. If your organisation has inactive stakeholders, a second tab appears so you can review them separately. Each row in the list shows:

KYC statuses

No KYC request has been sent to this stakeholder. Select them and click Request KYC to start the process.
A KYC request has been sent. The stakeholder has been notified by email and is yet to complete their verification on the Investor Portal. If the stakeholder is unable to complete the flow themselves, you can submit their details manually (see Manual KYC submission below).
The stakeholder has submitted their information and Centi’s identity provider (ComplyCube) is processing the checks. This typically completes within a few minutes.
The verification checks have returned results that require review — for example, a document could not be read clearly. The stakeholder may need to resubmit, or you may need to review the check result directly.
All identity and AML checks have passed. This stakeholder’s KYC is complete and current.

Select stakeholders

Tick the checkbox next to one or more stakeholders in the KYC list. You can use the filter bar to narrow the list by name or KYC status before selecting.

Click Request KYC

The Request KYC button appears in the bulk-action bar at the bottom of the screen. Click it to send verification emails to all selected stakeholders.

Stakeholders complete verification

Each stakeholder receives an email with a link to the Investor Portal, where they upload their identity document and complete an AML questionnaire. Their KYC status updates automatically as the checks progress.
You cannot request KYC for a stakeholder who already has an active request (status Pending submission, Running checks, or Needs attention). If you select a mix of eligible and ineligible stakeholders, the button is disabled. Deselect the ineligible ones before proceeding.

Viewing stakeholder details

Click any row in the KYC list to open a detail panel on the right side of the screen. For individual stakeholders the panel shows personal information and the history of KYC checks. For investment vehicle stakeholders it also shows the ultimate beneficial owner(s) — requesting KYC for a vehicle automatically triggers KYC for the individuals behind it. Use the arrow keys (↑ / ↓) to move between stakeholders while the panel is open.

Power of Attorney (PoA)

The PoA list

The PoA list shows every shareholder (individual or investment vehicle) who has active holdings in your organisation, together with the PoA document status for each holding. Use this list to track whether signature documents are in place and to send new signature requests. Each row displays the shareholder name, the company they hold in, the equity programs covering that holding, the connected PoA template, the current PoA status, and the date the current PoA document expires.

Filter the list using the tabs at the top:

SignedShareholders with a valid, signed PoA document.
PendingShareholders with a PoA sent but not yet signed.
Needs attentionShareholders without a signed PoA (includes unsigned and documents not yet sent).

PoA statuses

  • Signed — a valid PoA is in place for this holding.
  • Pending signature — the signature request has been sent and is awaiting the shareholder’s signature.
  • Sending documents — Centi is currently generating and dispatching the signature request. The row refreshes automatically.
  • Any other status indicates no signed PoA exists and action may be required.

Select shareholders

Tick the checkbox next to one or more shareholders. Rows without a connected template, without a program, flagged for manual signing, or currently in Sending documents status cannot be selected.

Click Review and request signatures

The bulk-action bar at the bottom of the screen shows Review and request signatures. Click it to open the preview dialog.

Preview and confirm

Review the documents that will be sent for each selected shareholder, then confirm to dispatch the signature requests.

Connected templates

The Connected template column shows which PoA template is linked to each shareholder. Templates are configured in the Templates section.

Flagging for manual signing

Investment vehicle rows include a context menu (the icon) that lets you flag or unflag the holding company for manual signing. Rows flagged for manual signing display a red flag icon and cannot be selected for bulk signature requests — useful when an investment vehicle has multiple UBO’s which Centi does not yet support natively. Collecting signatures for these vehicles is handled by the Centi client services team
